This End User License Agreement ("Agreement") is a legal contract between you ("User," "you," or "your") and Quality Assured Artificial Intelligence LLC, a Florida limited liability company ("Company," "we," "us," or "our"). This Agreement governs your access to and use of the Conflict Overlap Gap Analyzer service, including our website, web application, and all related services (collectively, the "Service").
By creating an account, purchasing credits, or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.
1. Definitions
"Analysis" means the AI-assisted gap analysis performed by the Service on documents you upload.
"Credits" means the prepaid units required to perform Analyses, purchased through the Service.
"Documents" means files you upload to the Service for Analysis.
"Results" means the output generated by the Service from an Analysis, including findings, compliance scores, and reports.
"QMS Professional" means a qualified quality management system professional with appropriate training, education, and experience in the applicable regulatory framework.
2. Intended Use and Limitations
2.1 Intended Use — For Information Only
The Service is intended to assist quality management professionals by providing AI-generated preliminary gap analysis of documentation against regulatory requirements including, but not limited to, ISO 13485 and DSCSA frameworks.
The Service is provided for informational purposes only. It is designed to serve as a productivity tool within your organization's existing, mature quality management processes—not as a source of compliance decisions. The Service may inform qualified decision-making but should never be the sole basis for compliance determinations.
In other words: the Service is informative, not decisive. It is a productivity multiplier for qualified professionals operating within established quality controls, not a replacement for those controls or the professionals who administer them.
2.2 Critical Limitations — Please Read Carefully
THE SERVICE IS NOT:
- (a) A substitute for qualified QMS professionals. All Results require review, verification, and validation by personnel with appropriate qualifications and authority within your organization.
- (b) A validated system. The Service has not been validated within your quality environment. If your organization operates under regulatory requirements that mandate validated computer systems (such as 21 CFR Part 11, EU Annex 11, GAMP 5, or similar frameworks), you are solely responsible for determining whether and how the Service may be used within your quality system.
- (c) A source of professional advice. Results do not constitute regulatory advice, legal advice, quality management consulting, or professional certification of any kind.
- (d) A guarantee of compliance. Use of the Service does not ensure, certify, or guarantee compliance with any regulatory requirement, standard, or framework.
2.3 User Responsibilities
You acknowledge and agree that:
- (a) You will ensure all Results are reviewed by qualified QMS professionals before any compliance decisions are made.
- (b) You are solely responsible for determining the appropriateness of using the Service within your organization's quality management system.
- (c) You are solely responsible for any decisions, actions, or compliance determinations made using or based upon the Results.
- (d) You will not represent to any regulatory body, auditor, or third party that Results constitute validated output or replace required human review.
3. AI-Generated Content Disclaimer
3.1 Nature of AI Output
The Service uses artificial intelligence and large language models to analyze Documents and generate Results. AI systems, by their nature:
- (a) May produce inaccurate, incomplete, or inconsistent output.
- (b) May fail to identify relevant gaps, issues, or non-conformances.
- (c) May identify issues that, upon human review, are not actually gaps or concerns.
- (d) Do not possess human judgment, contextual understanding of your specific operations, or knowledge of your organization's particular circumstances.
3.2 No Warranty of Accuracy
We make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any Results. Results are provided as preliminary analysis only and must be independently verified.
3.3 No Training on Customer Data
We do not use your Documents, Results, or any other customer data to train, improve, or develop our AI models or any other models. Your data is used solely to perform the Analysis you have requested.
4. Account Registration and Security
4.1 Account Creation
To use the Service, you must create an account and provide accurate, complete, and current information. You must be at least 18 years of age to create an account.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4.3 Organization Accounts
If you access the Service through an organization account, your organization administrator may have additional controls over your account, including the ability to restrict, suspend, or terminate your access. Your use of the Service through an organization account is also subject to any agreements between us and your organization.
5. Credits, Payments, and Refunds
5.1 Credit Purchase
Access to Analysis features requires the purchase of Credits. Credits are sold at the rates published on our website at the time of purchase. Currently, each Analysis requires one Credit per document processed.
5.2 Payment
All payments are processed through Stripe. By purchasing Credits, you authorize us to charge your selected payment method. We do not store credit card information; all payment data is handled by Stripe in accordance with PCI DSS requirements.
5.3 Credit Expiration
Credits do not expire and remain available in your account until used.
5.4 Refunds
Credits are generally non-refundable. However, if an Analysis fails due to a technical issue caused by our Service (not due to document format issues, unsupported content, or user error), we will, at our discretion, either refund the Credit(s) used or re-run the Analysis at no additional cost. To request a refund or re-run, contact support within seven (7) days of the failed Analysis.
6. Acceptable Use
6.1 Permitted Use
You may use the Service only for lawful purposes related to quality management and compliance analysis within your organization or on behalf of clients you are authorized to represent.
6.2 Prohibited Conduct
You agree not to:
- (a) Upload Documents containing malware, viruses, or malicious code.
- (b) Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- (c) Use the Service to process Documents you do not have the right to analyze.
- (d) Reverse engineer, decompile, or attempt to extract the source code of the Service.
- (e) Resell, sublicense, or commercially redistribute the Service or Results without our written permission.
- (f) Use the Service in any manner that could damage, disable, or impair the Service.
7. Documents and Data
7.1 Your Ownership
You retain all ownership rights in your Documents. By uploading Documents, you grant us a limited, non-exclusive license to process, store, and analyze those Documents solely for the purpose of providing the Service to you.
7.2 Data Storage and Security
Documents and Results are stored using industry-standard security measures, including encryption in transit (TLS) and multi-tenant data isolation. Each organization's data is logically separated at both the application and database levels.
7.3 Data Retention and Deletion
Documents are automatically deleted thirty (30) days after upload. Results are retained until you delete them or your account is terminated. You may delete your Documents and Results at any time through the Service interface.
Certain data is retained longer for legal and operational purposes:
- (a) Audit logs are retained indefinitely for security and compliance purposes.
- (b) Payment records are retained as required for financial and tax reporting.
7.4 Third-Party Service Providers
We use third-party service providers to operate the Service, including:
- Clerk for authentication and identity management
- Stripe for payment processing
- Supabase for database hosting
- Runpod for GPU compute processing
- Upstash/Railway for job queue management
Your data may be processed by these providers in accordance with their respective privacy policies and our data processing agreements with them.
7.5 No Sale of Data
We do not sell, rent, or share your Documents, Results, or personal information with third parties for marketing purposes.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including its software, algorithms, user interface, documentation, and all related intellectual property, is owned by Quality Assured Artificial Intelligence LLC and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any ownership rights in the Service.
8.2 Your Results
Subject to Section 8.1, you own the Results generated from your Documents. However, the underlying methodologies, frameworks, and presentation formats used to generate Results remain our intellectual property.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- (a) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
- (b) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
- (c) THE RESULTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.
- (d) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
YOU ACKNOWLEDGE THAT THE SERVICE INVOLVES AI-GENERATED ANALYSIS THAT MAY CONTAIN ERRORS AND THAT YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF AND RELIANCE ON THE SERVICE AND RESULTS.
10. Limitation of Liability
10.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUALITY ASSURED ARTIFICIAL INTELLIGENCE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- (a) LOSS OF PROFITS, REVENUE, OR BUSINESS.
- (b) REGULATORY FINES, PENALTIES, OR SANCTIONS.
- (c) COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES.
- (d) LOSS OF DATA OR DATA BREACH DAMAGES.
- (e) REPUTATIONAL HARM.
- (f) ANY DAMAGES ARISING FROM COMPLIANCE DECISIONS MADE USING THE RESULTS.
10.2 Cap on Liability
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.3 Basis of the Bargain
YOU ACKNOWLEDGE THAT THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND US.
11. Indemnification
You agree to indemnify, defend, and hold harmless Quality Assured Artificial Intelligence LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- (a) Your use of the Service.
- (b) Your violation of this Agreement.
- (c) Your violation of any applicable law or regulation.
- (d) Any compliance decisions, regulatory submissions, or business decisions made using or based upon Results.
- (e) Any claim that your Documents infringe or misappropriate any third-party intellectual property or proprietary rights.
12. Term and Termination
12.1 Term
This Agreement is effective upon your acceptance and continues until terminated.
12.2 Termination by You
You may terminate this Agreement at any time by ceasing use of the Service and deleting your account. Unused Credits are non-refundable upon voluntary termination.
12.3 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. If we terminate your account without cause, we will refund any unused Credits on a prorated basis.
12.4 Effect of Termination
Upon termination:
- (a) Your right to access and use the Service immediately ceases.
- (b) We may delete your Documents and Results in accordance with our data retention practices.
- (c) Sections 2 (Intended Use and Limitations), 3 (AI-Generated Content Disclaimer), 8 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution) survive termination.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at SUPPORT@QualityAssured.AI to attempt to resolve any dispute informally. We will attempt to resolve the dispute within thirty (30) days.
14.2 Arbitration
If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Florida. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
14.3 Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
15. General Provisions
15.1 Entire Agreement
This Agreement constitutes the entire agreement between you and us regarding the Service and supersedes all prior agreements and understandings.
15.2 Amendments
We may modify this Agreement at any time by posting the revised terms on our website. Your continued use of the Service after such posting constitutes acceptance of the modified Agreement. We will provide notice of material changes via email or through the Service.
15.3 Waiver
Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
15.4 Severability
If any provision of this Agreement is held to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
15.5 Assignment
You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement without restriction.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
